Terms of service

The agreement

These terms govern your use of the website at roofyield.com and the Roof Yield app at app.roofyield.com (together, the "Service"), provided by The Solution Desk LLC ("we", "us"). Our privacy policy explains how we handle your information and forms part of these terms. If you do not agree, do not use the Service.

Who can use Roof Yield

You must be at least 18 years old and able to enter into a binding contract. If you use the Service for a business, you confirm that you are authorized to accept these terms for it, and "you" includes that business.

Your account

• Give accurate information when you sign up, and keep your email address current so you receive account emails.
• Keep your password and sign-in methods secure. We strongly recommend turning on two-factor authentication or a passkey.
• You are responsible for activity under your account. Tell us promptly at support@roofyield.com if you believe someone else has used it.
• An account is for one person, or one business, and its own records.

The service and its price

Roof Yield is currently free. Accounts are subject to the limits shown on our pricing page. We may add, change, or remove features and limits over time. If we ever introduce fees, we will tell you at least 30 days in advance, and we will not charge you unless you choose a paid option.

Not tax, legal, or financial advice

Roof Yield helps you organize records and total them by Schedule E line. It does not prepare or file tax returns, and nothing in the Service is tax, legal, accounting, or financial advice. Suggested categories and calculations, including depreciation workings, are aids for you to check. You are responsible for your tax filings and should confirm them with a qualified professional.

Your content

You own the records and files you put into Roof Yield ("your content"). You give us permission to store, process, back up, and display your content only as needed to provide the Service to you. You are responsible for your content, and you confirm that you have the right to upload it, including any information about tenants or other people it contains.

You can download all of your content at any time from Settings in the app. We keep backups to protect against loss, but you should keep your own copies of records you need to retain.

Acceptable use

You agree not to:

• use the Service for anything unlawful, fraudulent, or harmful;
• access, or try to access, accounts or data that aren't yours;
• probe, scan, or test the Service's security, or get around its limits or checks, including the checks on sign-up and sign-in;
• create accounts by automated means, or scrape the Service;
• overload or disrupt the Service, or upload malware;
• copy, resell, or build a competing product from the Service, or reverse engineer it except where the law allows.

Third-party services

The Service relies on other companies' services, listed in our privacy policy. Address suggestions and street views are provided by Google Maps; by using those features you agree to the Google Maps/Google Earth Additional Terms of Service and the Google Privacy Policy. We are not responsible for services we do not control.

Ending your use

You can stop using Roof Yield at any time and ask us to delete your account. We may suspend or close an account that breaks these terms, puts the Service or other users at risk, or where the law requires it, and we will tell you when we reasonably can. If we decide to discontinue the Service, we will give you at least 30 days' notice to download your content. The sections on content, disclaimers, liability, indemnity, and disputes continue to apply after your use ends.

Disclaimers

The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not promise that the Service will be uninterrupted, error-free, or that data will never be lost.

Limitation of liability

To the fullest extent the law allows, neither The Solution Desk LLC nor its owners or members will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or tax benefits, arising from or related to the Service. Our total liability for all claims relating to the Service is limited to the greater of the amount you paid us for the Service in the 12 months before the claim, or US $100.

Some jurisdictions do not allow certain of these limits, so they may not all apply to you.

Indemnity

You agree to defend and indemnify The Solution Desk LLC against claims, damages, and costs, including reasonable legal fees, arising from your content or your breach of these terms, to the extent the law allows.

Governing law and disputes

These terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Before filing a claim, please contact us at support@roofyield.com and give us 30 days to try to resolve it informally. Any dispute that is not resolved will be heard exclusively in the state or federal courts located in Santa Clara County, California, and you and we consent to their jurisdiction.

Changes to these terms

We may update these terms. We will post the new version on this page and update the date at the top. If a change is material, we will tell you by email or in the app at least 30 days before it takes effect. Continuing to use the Service after that means you accept the updated terms.

General

These terms, with the privacy policy, are the whole agreement between you and us about the Service. If any part is found unenforceable, the rest remains in effect. Our not enforcing a term is not a waiver of it. You may not transfer these terms without our consent; we may transfer them as part of a merger, acquisition, or sale of the business.
